Implementation

Sinyi Realty Inc. (the “Company”) is devoted to corporate governance implementation for a long time and has kept improving the practices by strict standards in order to protect stakeholders’ equity. For the soundness of the Board of Directors, the Company’s Board of Directors established an Audit Committee on September 12, 2007, a Compensation Committee on August 27, 2010, a Nomination Committee on October 27, 2017, and a Business Ethics and Sustainable Development Committee on October 27, 2023. On April 8, 2019, the Company established the position of Head of Corporate Governance, Mr. Chen, Chih-Huan, who has worked in the audit department of an accounting firm for more than 8 years and worked as the senior manager of Finance Department of the Company, with the CPA license of R.O.C. and more than 10 years experiences of financial management.  The company has also appointed 2 staffs to cope with corporate governance affairs. He is mainly responsible for supervising and executing the operation of corporate governance, including providing the information required by the directors to perform business and the materials of the board of directors meetings, notifying the directors immediately after the Company releases material information, planning and handling the annual meeting-related matters such as the schedule of the board of directors and its functional committees and the date of the shareholders' meeting, and improving corporate governance implementation. The Company's corporate governance supervisor reported the corporate governance plan to the board of directors in February, 2023. The future plan of corporate governance includes visiting companies such as Yushan Bank as our benchmark; researching and analyzing at least 2 international, well-known benchmark enterprises, and will submit the research report. In addition, the corporate governance supervisor reported to the board of directors the status of communication with investors in December 2023, and also reported on routine inspections of the independence of independent directors.

Sinyi Inc. is established based on “Trustfulness” and “Righteousness”, emphasizing the value of honesty and trustfulness and putting into implementation thoroughly our guideline “fulfill whatever we commit and do everything as supposed to”. Therefore, we establish the “Corporate Ethics Sustainability Committee” which is consisted of each high executive of the Company. Through the quarterly financial and business status report, the Corporate Ethics Sustainability Committee reports the board of directors the plans which are related to encouraging our fellow staff members to stick to the guiding principles of serving customers through “taking customers into the top consideration to strive for friendship before profit through positive brainstorm” to guide our acts with our business philosophy. Besides, the Committee proposed the revision of the Company's Ethical Corporate Management Best Practice Principles to the board of directors on July 28th, 2020 and continues to request all the fellow staff members to read periodically the Principles of Behavior of Sinyi's Group to ensure them treat all stakeholders trustfully. In addition, the Committee also reported to our board of directors the implementation through whole year on December, 2023.

From 2015 to 2024, Taiwan Stock Exchange held the 1st~10th Corporate Governance Evaluation, respectively and Sinyi was ranked in the top 5% of the listed companies. Only 8 listed companies have received this honor for nine consecutive years. The main reason to won this award is due to positive business ethics, corporate social responsibility implementation, and strict self-requirements. Furthermore, corporate governance culture has been deeply rooted in the Board of Directors and all employees. Looking forward, the Company will continue to improve corporate governance implementation and strengthen the management capacity towards the goal of being a sustainable business.

In addition, the Company also won the "Exceptional" honor in the CG6014 corporate governance evaluation of Taiwan Corporate Governance Association(TCGA) in 2023, which is the seventh time it has received certification from TCGA.

Intellectual Property Management

In recent years, the wave of technology has driven the digital transformation of the industry. Not only the manufacturing industry, but also the service industry has also actively invested in R&D to enhance the competitiveness of enterprises. Intellectual property has therefore received extensive attention. The Financial Supervisory Commission has also revised the template of Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies, which included Intellectual Property Management from 2020. The company also amended its regulations accordingly, adding Article 37-2, stating "The board of directors is advised to evaluate and monitor the following aspects of a TWSE/TPEx company’s direction of operation and performance in connection with intellectual properties, to ensure the company develops an intellectual property regulatory system in accordance with the Plan-Do-Check-Act cycle"
  1. Formulate intellectual property regulatory policies, objectives and systems that are slightly associated with the operational strategies.
  2. Develop, implement and maintain on the basis of scale and form its regulatory systems governing the procurement, protection, maintenance and utilization of intellectual properties.
  3. Identify and provide the necessary resources sufficient to ensure effective implementation and maintenance of the intellectual property regulatory system.
  4. Observe internally and externally the risks and opportunities that intellectual property regulation may present and adopt corresponding measures.
  5. Plan for and implement a continuous improvement mechanism to ensure the operation and effects of the intellectual property regulatory regime meet the company’s expectations.
The company's intellectual property mainly includes business secrets, trademark rights and patent rights.

Intellectual Property Management Implementation
