5.Cause of occurrence:Sinyi Development Inc. proposed to

participate in joint development (including urban renewal) with others,

or government bidding in Taipei and New Taipei City.

The Company's Board of Directors resolved to authorize

the chairperson of Sinyi Development Inc., Mr. Chou, Chun-Chi,

to negotiate the conditions and signing matters of possible

real estate development projects or bids with others

within the scope of the total land and construction cost

not exceeding NT$2.0 billion.
