5.Details of occurrence (including the matter under dispute):
A dispute arose over a construction contract between Jiu Xin Estate
(Wuxi) Limited (hereinafter ”JiuXin”), an indirectly 100%-owned
subsidiary of the Company,is in a dispute with its contractor,
Shanghai No.7 Construction Co., Ltd.(hereinafter ”Shanghai No.7”),
arising from a construction project. Shanghai No.7 has initiated
legal proceedings against JiuXin and applied for a provisional
attachment on its assets amounting to RMB 107,373,163.
6.Handling procedure:JiuXin entered into a fixed-price contract with
Shanghai No.7 and has accrued the required payables. Despite ongoing
negotiations over construction deviations (such as design non-compliance,
quality defects, and delays), Shanghai No.7 unilaterally claimed extra
payments without supporting evidence, leading to an impasse.
Consequently, Shanghai No.7 filed a lawsuit and sought asset attachment
against JiuXin, with the case currently pending in court.
7.Impact on the Company’s finance and business and projected amount:
JiuXin is well-funded and can still carry out capital reductions to flexibly
support the group's cash flow. Its financial position is sound, and its
business mainly involves the sale of leftover housing from construction
projects, with no other major business developments. Assessment shows that
the aforementioned provisional attachment amount has little impact on its
financial operations.

relevant legal proceedings to safeguard the Company's rights and interests.
